Terms and Conditions of Sale

Payment Terms: Payment is due net 30 days from date of invoice unless otherwise agreed to in writing. 1-1/2% per month, (18% per annum), due on accounts over 30 days, plus collection costs including attorney's fees when incurred. Credit: Mastercard/Visa/American Express, Paypal, COD, Check or Bank Draft, Open account upon CMT acceptance of application for terms. Minimum Order: Minimum billing per order is $25.00 due to the paperwork and time involved in processing. CMT may waive this minimum at its sole discretion.

Special Orders: Items made to customer specifications or prints, catalog items modified to non-standard dimensions, or catalog items made in production quantities for a customer order are considered "made-to-order" items and are not returnable. Customer agrees to accept +/- 10% or +/- 1 piece whichever is the greater number. Design: CMT reserves the right to change the design of its products at any time without notice. CMT is not obligated to replace product or issue refund for items in a Customer's possession when change is affected.

Changes to Existing/Open Orders:  Any order that a customer places for purchase that requires changes in design, manufacture, delivery quantity or inspection after it is placed will be subject to additional processing and handling fees.  Requirements for first piece inspection, special handling and shipping, change in design and delays in shipping as requested by the customer are all examples of reasons for incurring additional costs to be applied to the customer order.  Such costs are to be determined at the time that is so noted.  All orders falling in this condition are also considered “Special Orders” and are subject to the Special Order Terms.

Shipments: All shipments are made via United Parcel Service or CMT's considered best method unless alternate shipping instructions are made in writing at time of order. All shipments are made FOB: Shipping point, unless otherwise indicated, Hanover, MA USA 02339. All claims for goods lost or damaged in transit are to be made directly to the carrier, and are the responsibility of the Customer.

Delivery: All delivery dates are promised in good faith and are subject to contingencies beyond our control. CMT is not liable for any damages or charges resulting from delayed shipments, due to our fault or otherwise. All claims for shipment shortage must be made in writing within 15 days of receipt of material. Cancellations: In-process orders are not subject to cancellation or reschedule except with CMT's written consent. All orders cancelled prior to delivery are subject to additional charges at the sole discretion of CMT. CMT will only accept cancellation or delay of delivery of any order on terms, which will indemnify us against loss.

Returns: All returned goods must be accompanied by a Returned Materials Authorization, (RMA), issued by CMT. Goods not accompanied by a CMT issued RMA may be refused and returned to Customer freight collect. Returned goods may be subject to a restocking charge as determined by CMT. Claims for damaged or defective product must be made in writing within 60 days of receipt of goods to be eligible for return or exchange. The condition of the returned product will be determined by CMT prior to issue of credit. No credit will be issued for used or modified product. All returned parts must be in the original packaging, suitably packaged for safe transit as shipped, otherwise Customer may be liable for damages incurred in shipment.

Warranty: CMT warrants its products against defects in material and workmanship under normal use and service. CMT will replace or repair any product proven to be defective at time of shipment, provided immediate written notice of defect by Customer. CMT's obligation is limited to repair or replacement of defective product. Total liability of CMT with respect to any order, whether based on contract, warranty, negligence, indemnity, strict liability or otherwise, shall not exceed the purchase price of the part upon which such liability is based. CMT shall in no event be liable to the Customer, any successors in interest or any beneficiary of any order, for consequential, incidental, indirect, special, punitive, or other damages. It is the responsibility of the Customer to determine suitability of product's fitness for Customer's purpose. CMT makes no warranty or representation of any kind, expressed or implied, except that of title, and all implied warranties of merchantability and fitness for a particular purpose are excluded.

Aircraft Policy: CMT's products are not FAA approved and are not to be used in any flight critical applications. Do not use CMT products on aircraft propeller or rotor drive systems or in-flight accessory drives. CMT products are not designed or intended for aircraft use.

Severability: If any of the terms and conditions herein is held contrary to law, the remaining provisions shall remain effective.

Clerical Errors: CMT is not responsible for printers' errors made in any of its publications and other forms of printed matter, or for any stenographic or clerical errors. All such errors are subject to correction.

THE TERMS OF THIS SALE SHALL SUPERSEDE ANY ADDITIONAL, DIFFERENT OR CONFLICTING TERMS PROPOSED BY BUYER OR CONTAINED ON BUYER'S PURCHASE ORDER OR ANY DOCUMENT OR INSTRUMENT SUBMITTED BY BUYER UNLESS OTHERWISE AGREED TO IN A WRITTEN AGREEMENT SIGNED BY BOTH PARTIES.
